1. Introduction
This End User License Agreement (“EULA”) is a legal agreement between you (“you”, “user”) and HisabAI (“HisabAI”, “we”, “our”, “us”) regarding your use of the HisabAI mobile application, web application, and any related software, features, and services (collectively, the “App”).
By installing, accessing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the App.
This EULA should be read together with our Terms of Service and Privacy Policy .
2. License Grant
Subject to your compliance with this EULA and our Terms of Service, HisabAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Download, install, and use the App on your compatible device; and
- Access and use the App solely for your personal, non-commercial use.
All rights not expressly granted to you under this EULA are reserved by HisabAI.
3. License Restrictions
You agree that you will not:
- Copy, modify, or create derivative works based on the App;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App to any third party;
- Remove, alter, or obscure any copyright, trademark, or proprietary notices contained in or on the App;
- Use the App for any unlawful, fraudulent, or harmful purpose or in violation of any applicable law;
- Circumvent, bypass, or interfere with any security mechanisms or technical protections in the App;
- Use the App in a manner that could damage, disable, overburden, or impair our servers or networks.
4. Ownership & Intellectual Property
The App is licensed, not sold, to you. HisabAI and its licensors own all rights, title, and interest in and to the App, including all intellectual property rights, software, design, graphics, interfaces, AI models, content, and documentation.
Nothing in this EULA transfers any intellectual property rights to you. You are only granted a limited license to use the App as outlined in this EULA.
5. User Content
You may enter or upload data to the App, including expense details, group information, notes, and other content (“User Content”).
You represent and warrant that:
- You own or have the right to use the User Content you provide;
- Your User Content does not infringe any third-party rights or violate any law;
- You are solely responsible for the accuracy, completeness, and legality of your User Content.
By using the App, you grant HisabAI a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of operating and improving the App and providing the Service.
6. Data Collection & Privacy
HisabAI collects and processes certain personal and usage data when you use the App. Our data practices are described in detail in our Privacy Policy .
By using the App, you acknowledge and agree that your data will be collected, used, and processed in accordance with the Privacy Policy.
7. Third-Party Services & Integrations
The App may integrate with or link to third-party services (such as UPI payment apps, authentication providers, or analytics tools).
You understand and agree that:
- Third-party services are governed by their own terms and privacy policies;
- HisabAI is not responsible for the availability, accuracy, or performance of third-party services;
- Any issues arising from the use of third-party services must be resolved with the respective provider.
8. Updates, Changes & Maintenance
HisabAI may, from time to time, provide updates, upgrades, patches, or new versions of the App (“Updates”).
You agree that:
- Updates may be automatically installed on your device or may require manual installation via the app store;
- Certain features or functionality may change, improve, or be removed as part of an Update;
- This EULA applies to all such Updates unless explicitly stated otherwise.
9. Subscription & Fees
Some features of the App may be offered as part of paid subscriptions or premium plans. Details of such plans (including pricing, billing cycles, and payment terms) will be provided within the App or app store listing.
Billing, renewals, and refunds may be handled by third-party platforms such as the Google Play Store or Apple App Store, and their terms may apply.
10. Termination
This EULA is effective from the time you first install or use the App and continues until terminated by you or HisabAI.
We may terminate or suspend your license to use the App if:
- You breach this EULA or the Terms of Service;
- We are required to do so by law or regulatory authority; or
- We decide, at our discretion, to discontinue the App or any of its features.
Upon termination, you must stop using the App and uninstall it from your device. Certain data may be retained as required by law or as described in our Privacy Policy.
11. Disclaimer of Warranties
The App is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory.
To the maximum extent permitted by law, HisabAI disclaims all warranties, including but not limited to:
- Fitness for a particular purpose;
- Merchantability;
- Non-infringement; and
- Any warranties arising out of course of dealing or usage of trade.
We do not warrant that the App will be error-free, secure, or uninterrupted, or that data or calculations will always be accurate or reliable (including AI-derived insights).
12. Limitation of Liability
To the maximum extent permitted by law, HisabAI and its affiliates will not be liable for any:
- Indirect, incidental, special, or consequential damages;
- Loss of profits, data, or business;
- Financial disputes or disagreements between users (including incorrect amounts, settlements, or entries);
- Issues arising from third-party services, including payment apps;
- Any damages exceeding the amount you have paid to HisabAI (if any) in the last 3 months preceding the claim.
These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.
13. Indemnity
You agree to indemnify, defend, and hold harmless HisabAI and its officers, directors, employees, and agents from all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the App;
- Your violation of this EULA or any applicable law; or
- Your infringement of any third-party rights.
14. Governing Law & Jurisdiction
This EULA is governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
You agree that any disputes arising out of or relating to this EULA or your use of the App will be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India.
15. Changes to This EULA
HisabAI may update or modify this EULA from time to time. When we do, we will update the “Last updated” date at the top of this page and may provide additional notice where required by law.
Your continued use of the App after any changes become effective constitutes your acceptance of the revised EULA. If you do not agree with the updates, you must stop using the App and uninstall it.
